You can search a register of limited partnerships in accordance with the Limited Partnerships Act 2008 or regulations made under this Act. You can search the register by using certain criteria, such as the name of a limited partnership, its registration number, or the address of its registered office. You can also search by the name of a general partner, or the name and residential address of a general partner who is a natural person.

The register can be searched by other criteria, including the address of a general partner who is not a natural person, or the name and address of the person authorised to accept service in New Zealand on behalf of an overseas limited partnership. The Registrar can also search the register by additional criteria, such as the name of a limited partner, or the name and date and place of birth of a limited partner.

You should note that some of these rules were changed by the Limited Partnerships Amendment Act 2014, which amended or inserted certain sections of the Limited Partnerships Act 2008.

64Searches of register

  1. A person may search a register in accordance with this Act or regulations made under this Act.

  2. A register may be searched only by reference to the following criteria:

  3. the name of a limited partnership or an overseas limited partnership:
    1. its registration number:
      1. the name of a limited partnership or an overseas limited partnership and the address of its registered office or its address for service:
        1. the address of its registered office:
          1. its address for service:
            1. the name of a general partner:
              1. the name and residential address of—
                1. a general partner who is a natural person; and
                  1. a general partner's director, partner, or general partner who is a natural person:
                  2. the name and address of a general partner who is not a natural person:
                    1. the name and address of the person authorised to accept service in New Zealand on behalf of the overseas limited partnership:
                      1. any other prescribed criteria.

                        1. In addition to the criteria in subsection (2), the Registrar may search on the following criteria:

                        2. the name of a limited partner; or
                          1. the name and address of a limited partner; or
                            1. the name and date and place of birth of a limited partner; or
                              1. the name and date and place of birth of—
                                1. a general partner who is a natural person; and
                                  1. a general partner's director, partner, or general partner who is a natural person.
