If you are part of an overseas limited partnership that does business in New Zealand, you must tell the Registrar about certain changes. You have 20 working days to notify the Registrar if there are changes to the general partners, their names or addresses, or the address of your business. You also need to notify the Registrar if there are changes to the person or address of the person who can accept documents on behalf of your partnership in New Zealand.

If you do not tell the Registrar about these changes, you can get in trouble. Your overseas limited partnership can be fined up to $10,000, and each general partner can also be fined up to $10,000. You can find more information about this by looking at s 339.

110Notification of changes relating to overseas limited partnership

  1. An overseas limited partnership that carries on business in New Zealand must ensure that, within 20 working days of the change or alteration, notice in the prescribed form is given to the Registrar if there is a change in—

  2. the general partners, or in the names or addresses of the general partners, of the overseas limited partnership; or
    1. the address of the place of business or principal place of business of the overseas limited partnership; or
      1. any person or the address of any person authorised to accept service in New Zealand of documents on behalf of the overseas limited partnership.
        1. If an overseas limited partnership fails to comply with subsection (1),—

        2. the overseas limited partnership commits an offence and is liable on conviction to a fine not exceeding $10,000; and
          1. every general partner of the overseas limited partnership commits an offence and is liable on conviction to a fine not exceeding $10,000.
