If you are an overseas limited partnership registered in New Zealand and you want to stop doing business here, you must give public notice of your intention. You must also give notice to the Registrar, in a special form, at least three months after giving public notice, stating the date you will stop doing business in New Zealand.

When you give this notice to the Registrar, you are telling them the date you will cease to carry on business in New Zealand. The Registrar will then remove your overseas limited partnership from the register as soon as possible after the date you specified or after they receive a notice from a liquidator, which can be given in accordance with section 257(1)(a)(ii)(C) of the Companies Act 1993 as modified by section 114(3).

The Registrar's job is to keep track of all the overseas limited partnerships in New Zealand, so when you stop doing business here, they need to update their records to show that you are no longer operating in the country.
