161: Conduct of directors, employees, or agents attributed

If you are an individual, you are responsible for what your employees or agents do when they are working for you. You are also responsible if you tell someone else to do something, or if you agree to let them do it.

If you are a company or organisation, you are responsible for what your officers, employees, or agents do when they are working for you. You are also responsible if one of your officers, employees, or agents tells someone else to do something, or if they agree to let someone do it.

This rule applies even if you didn’t directly tell the person to do the thing. As long as they were acting like they had your permission, you can still be held responsible.

161Conduct of directors, employees, or agents attributed

  1. Conduct engaged in on behalf of an individual (person A) by any of the following must be treated, for the purposes of this Act, as having been engaged in also by person A:

  2. an employee or agent of person A, acting within the scope of his, her, or its actual or apparent authority:
    1. any other person at the direction or with the consent or agreement (whether express or implied) either of person A or an employee or agent of person A, given within the scope of the actual or apparent authority of the employee or agent.
