If you’re an overseas company and you want to register as a company in New Zealand under the Companies Act 1993, you need to fill out a special form. With this form, you must provide some important documents and information.

You need to give a certified copy of your company’s certificate of incorporation or a similar document that shows your company was officially created. You also need to provide a certified copy of the documents that explain how your company is set up and run.

You have to show proof that you’re allowed to register as a company in New Zealand. This means you need to show that section 346 and section 347 don’t stop you from registering.

You also need to give all the documents and information that are normally required to register a company under Part 2 of the Companies Act. The person in charge of registering companies (called the Registrar) might ask for other documents and information too.

Sometimes, the Registrar might tell you that you don’t need to provide a document if it has already been given to them or registered under Part 18 of the Act.
