Companies Act 1993

Directors and their powers and duties

127: Meaning of board

You could also call this:

“What 'board' means for companies with one or more directors”

In this law, when you see the words “board” or “board of directors” about a company, it means one of two things:

If the company has more than one director, it means a group of directors working together. This group needs to have at least the minimum number of directors required to make decisions.

If the company only has one director, then that single director is considered the board.

This is how the law defines who can make important decisions for a company.
