“Directors can be fined if the company breaks rules”

If you’re a director of a company, you can be fined for certain things the company does wrong. The fines are different depending on what the company did wrong:

You can be fined up to $5,000 if the company breaks rules about things like using its name, buying its own shares, or giving out share certificates.

You can be fined up to $10,000 for bigger mistakes. These include not telling people about new shares, not keeping proper records, not filing annual returns, or not letting shareholders see company records.

You can be fined up to $50,000 for the most serious problems. These are not keeping proper accounting records or not preparing, auditing, and registering financial statements correctly.

Remember, these fines are for directors when the company breaks the rules. The law lists many specific sections that explain exactly what each fine is for.
