Companies Act 1993

Shareholders and their rights and obligations - Meetings of shareholders

124: Proceedings at meetings

You could also call this:

“How shareholder meetings are conducted and the rules that apply”

When you attend a meeting of shareholders of a company, there are rules about how the meeting should run. These rules are written in Schedule 1 of the Companies Act. However, if the company’s constitution (which is like its rulebook) says something different about how meetings should work, then the company’s own rules will be used instead. This means that the company can change some of the meeting rules if they want to, as long as they write it in their constitution.
